Terms of Service

MG Digital Direct is a brand of MALA Group, Inc., a Florida corporation (“MG Digital Direct,” “we,” “us,” or “our”), located at 622 Banyan Trail, Suite 614, Boca Raton, FL 33431. You can reach us at admin@mgdigitaldirect.com or (561) 423-4813.

These terms govern your use of MG Digital Direct's websites and services. By creating an account or purchasing a subscription, you agree to them.

When you create an account or complete a purchase you confirm your agreement by checking an agreement box; we keep a record of that acceptance (date, time, and IP address) together with the version of these terms you accepted.

What we provide

Depending on your plan, our services may include: a business website we build and host for you, a website chat assistant, an AI phone receptionist and business phone number, an appointment booking calendar, business email setup, Google Business Profile setup, review requests, social media content, marketing data, business cards, and direct-mail campaigns. Plan contents and current pricing are listed on our pricing page.

Accounts

You must provide accurate information and keep your login credentials secure. You are responsible for activity under your account. You must be authorized to act for the business you register.

Subscriptions and billing

• Plans bill monthly in advance and renew automatically until canceled. Annual prepay (two months free) and quarterly options are available on request or at checkout.
• One-time setup fees, where applicable, are stated at checkout.
• Add-ons — such as domain names, additional mailboxes, phone numbers, additional call minutes, printing, and mailing services — are billed separately at the rates shown when you order them.
• You may cancel at any time from your portal or by contacting us; see our Refund & Cancellation Policy for how cancellation and refunds work.
• Prices may change with at least 30 days' notice; changes apply at your next renewal.

Your content

You own the content you provide (text, images, logos, documents). You grant us a license to use it to build and operate your services. You are responsible for having the rights to everything you upload and for the accuracy and legality of your business's content, offers, and claims.

AI services

Some services are powered by artificial intelligence, including phone receptionists, chat assistants, and generated content (website copy, social posts, logos). AI output can contain errors. You are responsible for reviewing generated content that represents your business. AI assistants on our phone lines and websites are identified as automated.

Acceptable use — your legal responsibilities

You agree to use the services only for lawful purposes and in a professional manner, and that you — not MG Digital Direct — are solely responsible for how your business uses them. You agree NOT to:

• violate any applicable law or regulation, including telemarketing and messaging laws (such as the TCPA and the Telemarketing Sales Rule), anti-spam laws (such as CAN-SPAM), consumer-protection and advertising laws, privacy laws, and any licensing or permitting requirements that apply to your trade;
• send spam or unsolicited bulk messages, cold texts, robocalls, or ringless voicemail through or in connection with the services;
• publish or transmit content that is unlawful, deceptive, fraudulent, defamatory, infringing, obscene, or that impersonates another person or business;
• make false or misleading claims about your products, services, pricing, licensing, or credentials;
• use the services to harass, threaten, or abuse anyone; or
• probe, disrupt, overload, or misuse the platform, other customers' services, or our data.

You are responsible for the acts of your employees and agents on your account. We may suspend or terminate accounts that violate these rules, with or without notice, and without refund of fees already paid. Any and all liability, damages, fines, or penalties arising from your business's use of the services — including any use in violation of law or these terms — are yours alone, and you agree to indemnify us for them as described below.

Phone numbers and domains

Phone numbers we provision remain on our carrier account while your subscription is active; portability on request where supported. Domain names are registered in your business's name on your behalf; registrations are annual and subject to the registry's terms.

Service availability; assumption of risk

We aim for high availability, but websites, phone lines, chat assistants, booking systems, messaging, and email — including components that depend on third-party carriers, registrars, hosting, and AI providers — can fail, degrade, or be interrupted without warning. Calls may be dropped, misrouted, or go unanswered; AI assistants may mishear or answer imperfectly; websites and booking pages may be temporarily unavailable; emails and texts may be delayed or undelivered.

By using the services you agree that MG Digital Direct is not responsible or liable for any damages of any kind caused by non-working, interrupted, or malfunctioning phones, phone numbers, websites, chat assistants, booking systems, email, or any other service feature — including missed calls, missed messages, missed appointments, lost leads, lost sales, lost revenue, lost data, or harm to reputation — and that you knowingly and voluntarily assume any and all such damages and risks. Maintain independent means of communication for anything critical to your business.

No emergency use: the services are not a substitute for emergency communications and must never be relied on to place or receive 911 or other emergency calls.

We may perform maintenance and update features. If we discontinue a service you have prepaid for, we will refund the unused portion.

Disclaimers and limitation of liability

Services are provided “as is” and “as available,” without warranties of any kind, express or implied, to the fullest extent permitted by law. We do not guarantee specific business results, search rankings, call volumes, uptime, or marketing outcomes. To the maximum extent permitted by law: (a) you assume any and all damages arising from your use of, reliance on, or inability to use the services; (b) our total liability for any claim is limited to the amounts you paid us in the three (3) months before the claim arose; and (c) we are not liable for indirect, incidental, special, punitive, or consequential damages — including lost profits, lost business, or missed opportunities — even if advised of the possibility.

Indemnification

You will defend, indemnify, and hold harmless MALA Group, Inc. d/b/a MG Digital Direct and its owners, employees, and agents from and against any and all claims, damages, losses, fines, penalties, and expenses (including reasonable attorneys' fees) arising out of your business's content, products, services, or communications; your use of the services; or your violation of these terms or applicable law.

Termination

You may cancel at any time. We may suspend or terminate for non-payment, violation of these terms, or risk to the platform. On termination we will make your uploaded content available to you for 30 days on request.

Governing law

These terms are governed by the laws of the State of Florida. Any dispute will be brought in the state or federal courts located in Palm Beach County, Florida.
